These Terms of Service (“Terms”) govern your access to and use of ruyage.com, your purchase of RUYAGE products and services, and your use of features made available through the website.
The website and official RUYAGE online store are operated by RUYAGE INC (“RUYAGE,” “we,” “us,” or “our”). By accessing the website, creating an account, or submitting an order, you agree to these Terms and the policies incorporated into them.
Please read these Terms before placing an order. If you do not agree, do not use the website or purchase products or services through it.
1. Eligibility
You must be at least 18 years old, or the age of legal majority in your place of residence, to place an order independently.
If you place an order on behalf of a business or organization, you confirm that you have authority to bind that business or organization to these Terms.
2. Website Use and Customer Accounts
You agree to provide current, complete, and accurate account, billing, payment, and shipping information.
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. Notify us promptly if you believe your account has been accessed without authorization.
You may not:
- Use the website for unlawful, fraudulent, or deceptive purposes
- Attempt to gain unauthorized access to the website or another account
- Interfere with the website, servers, payment systems, or security features
- Introduce malicious software, automated attacks, or harmful code
- Scrape or reproduce substantial website content without authorization
- Use false information or another person's payment method without permission
We may restrict or suspend access when reasonably necessary to protect customers, investigate suspected fraud, comply with law, or maintain website security.
3. Product Information
We make reasonable efforts to present accurate product descriptions, photographs, specifications, compatibility information, prices, and availability.
Colors and appearance may vary slightly because of display settings, lighting, production updates, or regional product variations. We will not intentionally substitute a materially different product without informing you and obtaining any consent required by law.
Product specifications, packaging, accessories, software, and available features may be updated. The specifications displayed or otherwise agreed when your order is accepted will apply to that order.
Certifications such as FCC, CE, UKCA, RoHS, or other regional approvals apply only when expressly identified for the particular model or variant. Do not assume that every RUYAGE product carries every certification.
4. Prices, Currency and Taxes
Prices may be displayed in different currencies according to your selected market. Currency conversion rates may change, and your card issuer or payment provider may charge separate conversion or international transaction fees.
Product prices, discounts, shipping charges, and taxes collected by RUYAGE will be displayed during checkout before payment is submitted.
Import duties, VAT, customs brokerage fees, and taxes collected by a destination authority or carrier may be charged separately unless checkout expressly states that they are included.
Promotions and discount codes may have separate eligibility requirements, expiration dates, product exclusions, and usage limits. Unless expressly stated, promotions cannot be combined or applied retroactively.
5. Orders and Contract Formation
Submitting an order is an offer to purchase the selected products or services. An automated order confirmation acknowledges receipt of your order but does not necessarily mean that the order has been accepted.
An order is accepted when we confirm acceptance, begin fulfillment, or dispatch the product, whichever occurs first.
We may refuse or cancel an order for legitimate reasons, including:
- The product is unavailable
- Payment cannot be authorized or verified
- Billing or shipping information appears incomplete or inaccurate
- Fraud, unauthorized payment, or policy abuse is reasonably suspected
- A material pricing or product information error occurred
- Shipping, battery, sanctions, export, import, or regulatory restrictions apply
- The order exceeds applicable quantity or promotion limits
If a material pricing error is discovered, we may contact you to confirm whether you wish to proceed at the correct price or cancel the order. We will not charge a higher price without authorization.
If we cancel an order after payment has been collected, the applicable amount will be refunded to the original payment method.
Contact us before placing a wholesale or resale order. A bulk purchase does not create an agency, distribution, exclusivity, or authorized-reseller relationship unless confirmed in a separate written agreement.
6. Payment
Payments may be processed by Shopify and other third-party payment providers. Their separate terms and privacy practices may apply.
By submitting payment information, you confirm that you are authorized to use the selected payment method and authorize the applicable charges shown during checkout.
We may perform payment verification and fraud-prevention checks before accepting or fulfilling an order.
7. Shipping and Delivery
Order processing, shipping methods, estimated delivery times, tracking, customs charges, address changes, and delivery problems are governed by our Shipping Policy.
Delivery estimates are not guaranteed arrival dates unless expressly identified as guaranteed. Carrier disruptions, customs procedures, severe weather, public holidays, remote locations, and regulatory inspections may affect delivery.
Customers must provide a complete and accurate delivery address and reasonable information required for customs clearance or delivery.
Nothing in these Terms transfers delivery risk or excludes seller responsibilities where applicable consumer law provides otherwise.
8. Returns, Refunds and Warranty
Return eligibility, the 30-day return period, return shipping, refund timing, defective products, activated services, and warranty assistance are governed by our Return and Refund Policy.
Eligible RUYAGE products include a 12-month limited commercial warranty covering qualifying manufacturing defects unless a different period is stated on the product page.
Commercial warranty coverage is additional to, and does not replace or reduce, any mandatory consumer rights that apply in your country or region.
9. 4G LTE PoC Radios and Included Service
Push-to-Talk over Cellular (“PoC”) radios require compatible cellular data or Wi-Fi connectivity and may depend on third-party carriers, SIM providers, servers, applications, and account-management platforms.
Selected PoC radio packages may include a stated period of LTE service. The applicable product page or activation confirmation will identify the included service period, supported region, network requirements, and any renewal conditions.
Unless expressly stated otherwise, an included service period does not automatically renew into a monthly contract. Continued service after the included period may require an optional paid renewal.
Network coverage and service quality depend on location, compatible LTE bands, carrier availability, congestion, buildings, terrain, account status, platform availability, and other conditions outside RUYAGE's direct control.
Coverage maps and service descriptions are estimates and do not guarantee uninterrupted communication in every building, vehicle, outdoor area, or country.
We may suspend service where reasonably necessary to address unlawful use, security threats, fraud, network abuse, nonpayment of an applicable renewal, or a binding legal requirement.
10. Third-Party Applications and Services
Some RUYAGE products may operate with third-party applications, mobile networks, SIM services, payment providers, shipping carriers, or platforms such as Zello.
Third-party services are governed by their own terms, privacy policies, account requirements, subscription rules, supported operating systems, and regional availability.
Software updates, network changes, account restrictions, or service discontinuation by a third party may affect compatibility. RUYAGE does not control third-party systems, but this does not remove any remedy you may have if a RUYAGE product was materially misdescribed at the time of purchase.
Zello is a trademark of Zello, Inc. Compatibility references do not imply endorsement, sponsorship, or an official partnership unless expressly stated.
11. Radio Frequency, Licensing and Regional Compliance
Radio frequencies, permitted transmission power, licensing requirements, programming rules, encryption rules, and approved equipment differ by country and region.
Before transmitting, you are responsible for confirming that the selected model, frequency configuration, antenna, power level, channel, and intended use are lawful in the location where the product will be operated.
Do not transmit on restricted, emergency, aviation, marine, public-safety, business, amateur, or other licensed frequencies unless you have the required authorization and the device is approved for that use.
Product pages may provide regional compatibility guidance, but such guidance does not replace licensing requirements or instructions issued by local communications authorities. Nothing in this section transfers or excludes any legal obligation that must remain with RUYAGE as the seller.
12. Safety and Responsible Use
Follow all product manuals, charging instructions, battery warnings, operating limits, and local laws.
Do not use a damaged, swollen, leaking, punctured, or overheating battery. Stop using the product and contact support if you observe an unusual smell, heat, smoke, deformation, or other safety concern.
Do not operate a handheld radio while driving or performing another activity when doing so would be unsafe or unlawful.
Unless a product is expressly certified and sold for that purpose, RUYAGE products are not medical devices, emergency dispatch systems, life-safety systems, or guaranteed substitutes for emergency telephone services such as 911, 999, or 112.
Users responsible for safety-critical operations should maintain appropriate backup communication methods and operating procedures.
13. Prohibited Product Use
You must not use RUYAGE products or services to:
- Violate applicable laws, regulations, licenses, or sanctions
- Intentionally interfere with authorized communications or networks
- Impersonate another person or transmit fraudulent communications
- Harass, threaten, stalk, or unlawfully monitor another person
- Bypass lawful network, account, software, or security restrictions
- Transmit content or communications that infringe third-party rights
14. Reviews, Feedback and User Submissions
If you submit a review, photograph, video, suggestion, or other content, you confirm that it is truthful, based on your genuine experience where applicable, and does not infringe another person's intellectual property, privacy, or other rights.
You grant RUYAGE a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and use submitted content for operating, improving, and promoting RUYAGE, subject to applicable privacy law.
We may moderate or remove content that is unlawful, fraudulent, abusive, irrelevant, infringes rights, contains personal information, or violates these Terms. We will not suppress an honest review merely because it is negative.
15. Intellectual Property
Website text, graphics, logos, photographs, videos, product documentation, design elements, and other content are owned by or licensed to RUYAGE and are protected by applicable intellectual property laws.
You may access the website and download reasonable product information for personal, non-commercial use. You may not reproduce, republish, sell, modify, distribute, or commercially exploit substantial website content without written permission.
RUYAGE names, logos, and brand identifiers may not be used in a way that falsely implies authorization, endorsement, or affiliation.
16. Privacy and Electronic Communications
Our collection and use of personal information are described in our Privacy Policy.
By submitting an order or contacting us, you agree to receive transactional communications necessary to process payment, fulfill the order, provide tracking, respond to support requests, issue safety notices, and administer services.
Marketing communications are subject to applicable consent and unsubscribe requirements.
17. Website Availability and Third-Party Links
We aim to keep the website available and accurate but do not guarantee uninterrupted, secure, or error-free access at all times.
We may perform maintenance, correct errors, update functionality, or temporarily restrict access where reasonably necessary.
Links to third-party websites are provided for convenience. RUYAGE does not control third-party content, security, availability, or privacy practices.
18. Disclaimer of Warranties
To the maximum extent permitted by law, the website is provided on an “as available” basis. We do not warrant that every website function or third-party service will be uninterrupted or error-free.
Product warranties are limited to the warranties expressly stated on the product page, in accompanying documentation, or in our Return and Refund Policy.
Nothing in these Terms excludes warranties, guarantees, remedies, or consumer rights that cannot lawfully be excluded.
19. Limitation of Liability
To the maximum extent permitted by applicable law, RUYAGE will not be liable for indirect, incidental, special, exemplary, or consequential losses that were not reasonably foreseeable when the contract was formed.
Subject to the exclusions below, RUYAGE's aggregate liability arising from a product or paid service will not exceed the amount paid for the product or service giving rise to the claim, to the extent such a limitation is permitted by law.
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence where liability cannot be excluded
- Fraud or fraudulent misrepresentation
- Willful misconduct or gross negligence where liability cannot be excluded
- Breach of mandatory statutory consumer rights
- Any other liability that applicable law does not permit us to limit or exclude
20. Events Outside Reasonable Control
Neither party will be responsible for a delay or failure caused by an event outside its reasonable control, including natural disasters, war, civil disturbance, government restrictions, carrier shutdowns, customs actions, widespread network failures, labor disruptions, or major transportation interruptions.
This section does not remove any right to cancel or obtain a refund where applicable law provides such a right.
21. Governing Law and Disputes
Before beginning formal proceedings, please contact info@ruyage.com and provide a description of the dispute, the relevant order number, and the resolution requested. The parties will attempt in good faith to resolve the matter informally.
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles, except to the extent mandatory consumer law in your country or region applies.
Where legally permitted, disputes may be brought before courts with jurisdiction in Denver, Colorado. This clause does not require a consumer to waive access to a local court or remedy that cannot lawfully be excluded.
22. International Customers
We sell to customers in multiple countries. Certain provisions may not apply to you if they conflict with mandatory laws in your country of residence.
Nothing in these Terms removes mandatory rights relating to product conformity, delivery, cancellation, returns, refunds, warranties, unfair contract terms, privacy, or access to legal remedies.
23. Changes to These Terms
We may update these Terms to reflect changes in our products, services, business practices, or legal obligations. The revised version will be published on this page with a new revision date.
Updated Terms apply prospectively from their stated effective date. The Terms in effect when an order was accepted will generally continue to govern that order unless a change is legally required or agreed with you.
24. General Provisions
If a provision of these Terms is found unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.
A failure to enforce a provision does not waive the right to enforce it later.
You may not transfer your rights or obligations under these Terms without our consent, except where applicable law permits. RUYAGE may transfer these Terms as part of a merger, reorganization, sale of business, or transfer of relevant operations, subject to applicable consumer law.
These Terms, together with the policies and product-specific terms linked or presented before purchase, form the agreement between you and RUYAGE regarding the website and applicable order.
